"Company," "we," "us," or "our" refers to Spirit Works AI LLC, a Florida limited liability company located at 518 Marquesa Circle, Saint Johns, FL 32259.

"Client," "you," or "your" refers to any individual or entity that engages our services or uses our website.

"Services" refers to AI automation, custom software development, system integrations, data dashboards, consulting, and any related services provided by the Company.

Spirit Works AI LLC provides AI-powered automation solutions, custom software development, API and system integrations, data reporting dashboards, and ongoing technical support and optimization. The specific scope, deliverables, and timeline for each engagement are defined in individual project agreements or statements of work.

All projects begin with a discovery phase to define scope and deliverables. Payment terms, including deposit requirements, milestone payments, and final payment schedules, are outlined in individual project agreements.

Unless otherwise specified in writing, invoices are due within 30 days of issuance. Late payments may incur a fee of 1.5% per month on the outstanding balance.

Upon full payment, the Client receives ownership of all custom code, designs, and deliverables created specifically for their project, unless otherwise stated in the project agreement.

The Company retains the right to use general-purpose tools, frameworks, libraries, and methodologies developed independently or prior to the engagement. The Company may reference the engagement in marketing materials unless the Client requests otherwise in writing.

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business processes, technical specifications, customer data, and financial information. Confidentiality obligations survive the termination of the engagement for a period of two (2) years.

To the maximum extent permitted by law, Spirit Works AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

Services are provided "as is" and "as available." While we strive for excellence in every engagement, we do not guarantee that our solutions will be error-free, uninterrupted, or meet every specific expectation not outlined in the project agreement. We make no warranties, express or implied, regarding fitness for a particular purpose beyond the agreed scope.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts located in St. Johns County, Florida.
